About us: Our family enterprise was founded in December 2001 by three shareholders (Alexander, Dieter and Helga Illing). Headquarter is placed at Süsel in the northern part of Germany. As a company of the early beginnings in practical application of coatings based on nanotechnology, we act primarily as a supporter and consultant (of our customers and partners) for products and solutions distributed by us. Since the beginning of nanotechnology, we are a leading company in any way of solution-oriented supplies and the correct use of the newest innovations in this field of science. Allgemeine Geschäftsbedingungen § 1 GELTUNGSBEREICH Für den Kauf unserer Produkte über unseren Onlineshop gelten ausschließlich die nachfolgenden Allgemeinen Geschäftsbedingungen in ihrer zum Zeitpunkt der Bestellung gültigen Fassung. Etwaige von diesen Bedingungen abweichende Regelungen gelten nur, sofern sie von uns schriftlich bestätigt worden sind. Im Geschäftsverkehr mit Unternehmen gelten unsere Verkaufsbedingungen auch ohne ausdrücklichen Hinweis für alle künftigen Geschäfte mit dem Besteller. § 2 DEFINITIONEN (1) Verbraucher im Sinne dieser Geschäftsbedingungen sind natürliche Personen, die mit uns in Geschäftsbeziehung treten, ohne dass dies ihrer gewerblichen oder selbständigen beruflichen Tätigkeit zugerechnet werden kann. (2) Unternehmer im Sinne dieser Geschäftsbedingungen sind natürliche und juristische Personen oder rechtsfähige Personengesellschaften, die in Ausübung ihrer gewerblichen oder selbständigen beruflichen Tätigkeit mit uns in eine Geschäftsbeziehung treten. § 3 VERTRAGSABSSCHLUSS (1) Der Kaufvertrag kommt zustande, wenn wir Ihren Auftrag durch Lieferung der Ware oder durch Zusendung einer Auftragsbestätigung in Textform innerhalb von maximal 7 Tagen annehmen. (2) Ihre Bestellungen werden bei uns für 12 Monate nach Ihrer Bestellung gespeichert. Sollten Sie Ihre Unterlagen zu Ihren Bestellungen verlieren, wenden Sie sich bitte per E-Mail/Fax/Telefon an uns. Wir senden Ihnen gerne eine Kopie der Daten Ihrer Bestellung zu. § 4 RÜCKTRITT (1) Der Verkäufer behält sich bei Schreib-, Druck- und Rechenfehlern in der Auktionsbeschreibung das Recht zum Rücktritt vor. Dieses Recht besteht zudem, wenn der Käufer falsche Angaben über seine Person oder seine Kreditwürdigkeit gemacht hat oder ein Insolvenzverfahren über sein Vermögen eröffnet oder mangels kostendeckenden Vermögens abgewiesen wurde. Für einen solchen Fall wird dem Käufer das Recht eingeräumt eine Vorauszahlung zu leisten oder eine Sicherheit zu erbringen. (2) Im Falle eines Teilrücktrittes sind ergänzend zu etwaigen Schadenersatzansprüchen bereits erbrachte Leistungen vertragsgemäß abzurechen und zu bezahlen. § 5 Lieferung (1) Die Lieferung erfolgt durch Sendung der Ware an die vom Kunden genannte Adresse gegen die angegebenen Verpackungs- und Versandkosten. Wünscht der Kunde eine spezielle Art der Versendung, die mit Mehrkosten verbunden ist, so hat er diese zu tragen. (2) Ist der Käufer Verbraucher, geht die Gefahr auf den Käufer über, sobald die Lieferung an den Käufer übergeben wurde. Für den Fall, dass der Käufer Unternehmer ist, geht die Gefahr auf ihn über, sobald der Verkäufer die Lieferung an den Spediteur, den Frachtführer oder der sonst zur Ausführung der Versendung bestimmten Person oder Anstalt ausgeliefert hat. § 6 Transportschäden (1) Offensichtliche Transportschäden an der Verpackung oder am Inhalt oder offensichtliche Fehl- bzw. Falschlieferungen soll der Käufer - unbeschadet seiner Gewährleistungsrechte - unverzüglich bei dem Spediteur/Frachtdienst melden und soweit möglich die Annahme verweigern, sowie den Verkäufer telefonisch oder schriftlich (Post/Fax/Email) informieren, damit dieser seine Rechte gegenüber dem Spediteur/Frachtdienst oder Vorlieferanten geltend machen kann. Das gleiche gilt für verborgene Mängel - ebenfalls unbeschadet seiner Gewährleistungsansprüche -, die erst erkennbar werden nach Öffnen der Verpackung. Die Versäumung einer Reklamation oder Kontaktaufnahme hat für Sie keinerlei Konsequenzen. Sie helfen uns aber, unsere eigenen Ansprüche gegen über dem Frachtführer geltend zu machen. § 7 PREISE, VERSANDKOSTEN (1) Die jeweiligen Versandkosten werden gesondert ausgewiesen und vom Käufer getragen. (2) Die Preise der angegebenen Waren sind Endpreise. Sie beinhalten nicht die Verpackungs- und Versandkosten. (3) Wenn ein Widerrufsrecht nach § 312d Abs. 1 Satz 1 BGB besteht und ausgeübt wird, werden dem Verbraucher die regelmäßigen Kosten der Rücksendung auferlegt, wenn der Preis der zurückzusendenden Sache einen Betrag von 40 Euro nicht übersteigt oder wenn bei einem höheren Preis der Sache der Verbraucher die Gegenleistung oder eine Teilzahlung zum Zeitpunkt des Widerrufs noch nicht erbracht hat, essei denn, dass die gelieferte Ware nicht der bestellten entspricht. § 8 Zahlung, Verzug (1) Der Kaufpreis ist innerhalb von 7 Tagen nach Kaufvertragsabschluss fällig und kann mithilfe der in dem jeweiligen Angebot angebotenen Zahlungsmethoden beglichen werden. (2) Während der Käufer sich im Zahlungsverzug befindet, hat er jede Fahrlässigkeit zu vertreten und haftet auch für den zufälligen Untergang oder die Verschlechterung der Leistung, es sei den der Schaden wäre auch bei rechtszeitiger Zahlung eingetreten. (3) Die Geltendmachung eines darüberhinausgehenden Schadens wird durch diese Regelung nicht ausgeschlossen. § 9 EIGENTUMSVORBEHALT Bis zur vollständigen Bezahlung aller Forderungen bleibt die gelieferte Ware Eigentum des Verkäufers. § 10 AUFRECHNUNG, ZURÜCKBEHALTUNGSRECHT Das Recht zur Aufrechnung steht dem Käufer nur zu, wenn seine Gegenansprüche vom Verkäufer unbestritten oder rechtskräftig festgestellt sind. Zur Ausübung eines Zurückbehaltungsrechts ist der Käufer nur insoweit befugt, als sein Gegenanspruch auf dem gleichen Vertragsverhältnis beruht. § 11 GEWÄHRLEISTUNG (1) Ist die bestellte Ware bei Gefahrübergang mit einem Mangel behaftet und eignet sie sich dadurch nicht mehr für die nach dem Vertrag vorausgesetzte Verwendung, hat der Besteller innerhalb der gesetzlichen Gewährleistungsfrist zunächst das Recht, zwischen Beseitigung des Mangels durch Reparatur/Nachbesserung oder Lieferung einer neuen Ware zu wählen. (2) Schlägt die Nacherfüllung fehl, was im Regelfall nach einem erfolglosen zweiten Versuch der Fall ist, ist der Käufer berechtigt, Herabsetzung des Kaufpreises (Minderung) zu verlangen oder vom Vertrag zurückzutreten oder Schadensersatz zu verlangen. Wenn der Käufer dem Verkäufer erfolglos eine angemessene Frist zur Nacherfüllung gesetzt hat, kann er gemäß den nachfolgenden Bestimmungen Schadensersatz statt der Leistung bzw. Aufwendungsersatz verlangen. (3) Wenn der Käufer als Verbraucher gekauft hat, verjähren seine gesetzlichen Gewährleistungsansprüche im Falle von Mängeln beim Kauf neuer Sachen innerhalb von zwei Jahren, beim Kauf gebrauchter Sachen innerhalb eines Jahres ab Gefahrenübergang. (4) Ist der Kauf für den Verkäufer und den Käufer ein Handelsgeschäft, hat der Käufer die gelieferte Ware unverzüglich auf Qualitäts- und Mengenabweichung zu untersuchen und dem Verkäufer erkennbare Mängel unverzüglich anzuzeigen; andernfalls ist die Geltendmachung des Gewährleistungsanspruchs ausgeschlossen. Verdeckte Mängel sind dem Verkäufer unverzüglich nach der Entdeckung anzuzeigen. Zur Fristwahrung genügt die rechtzeitige Absendung. Seite 27 (5) Schäden durch unsachgemäße oder vertragswidrige Maßnahmen des Käufers bei Aufstellung, Anschluss, Bedienung oder Lagerung werden durch uns nicht ersetzt. § 12 HAFTUNG (1) Der Verkäufer haftet unbegrenzt entsprechend zwingender gesetzlicher Haftungsvorschriften. (2) Für andere als durch Verletzung von Leben, Körper und Gesundheit entstehende Schäden haftet der Verkäufer nur, soweit uns bzw. unseren Erfüllungs- bzw. Verichtungsgehilfen vorsätzliches oder grob fahrlässiges Handeln oder eine schuldhafte Verletzung einer wesentlichen Vertragspflicht zur Last fällt. Eine weitergehende Haftung auf Schadensersatz ist ausgeschlossen. Die Bestimmungen des Produkthaftungsgesetzes bleiben unberührt. (3) Bei leicht fahrlässiger Verletzung wesentlicher Vertragspflichten haftet der Verkäufer der Höhe nach beschränkt auf den vertragstypischen vorhersehbaren Schaden, der in der Regel den Kaufpreis der bestellten Ware nicht überschreitet. Eine wesentliche Vertragspflicht umfasst solche Pflichten, die die ordnungsgemäße Durchführung des Vertrages überhaupt erst ermöglichen und auf deren Einhaltung der Käufer regelmäßig vertrauen darf. (4) Es gelten die gesetzlichen Verjährungsvorschriften. § 13 ABTRETUNG (1) Die Abtretung jeglicher Forderungen oder Ansprüche gegen den Verkäufer an Dritte ist ausgeschlossen, sofern der Verkäufer der Abtretung nicht ausdrücklich in Textform zustimmt. Der Verkäufer ist zur Abtretung verpflichtet, wenn der Käufer ein berechtigtes Interesse an der Abtretung nachweist. § 14 ANWENDBARES RECHT UND GERICHTSSTAND (1) Die Geschäftsbeziehungen zwischen Verkäufer und Käufer unterliegen dem Recht der Bundesrepublik Deutschland unter Ausschluss des UNKaufrechts.
